Definitions

  • Client: the natural person or legal entity, with whom an agreement relating to participation in a training course has been concluded.
  • Trainee: the natural person who actually participates in the training on behalf of the client. 
  • Training: training, course, workshop, coaching,counseling, assessment or any other meeting for the purpose of imparting and/or increasing knowledge and/or skills. 
  • Open training: training with participation by trainees from different companies and/or organizations. 
  • 'In-company' training: training with participation by trainees from the same company and/or organization. 
  • Terms and Conditions: these general terms and conditions. 

Applicability

  • The conditions apply to all quotations, offers, (legal) acts, agreements and the like of Human Safety Academy B.V., regardless of whether they are related to other existing quotations, general offers, (legal) acts, agreements and the like.
  • Changes or additions to the terms and conditions must be expressly confirmed by the contractor in writing.
  • Tendering in the manner mentioned in Article 3 paragraph 1 or accepting an offer as referred to in Article 4 paragraph 2 implies acceptance of the applicability of these terms and conditions.
  • Applicability of general terms and conditions of the client is excluded insofar as they conflict with these terms and conditions.

Delivery conditions

  • This agreement is subject to the terms and conditions in accordance with the'DNR terms of delivery (2011 edition)'. These conditions will be sent to you free of charge upon your request.

Payment

  • After registration for a training as mentioned in article 3 or after acceptance of the offer as mentioned in article 4, Human Safety Academy B.V. will send an invoice regarding the training to the client.
  • Payment by the client must be made in full within 30 days after the invoice date, but at the latest before the start of the first training day, without any right to discount or settlement, by means of deposit into a bank or giro account indicated by Human Safety Academy B.V. Payment by credit card is possible through the website www.humansafetyacademy.com. Credit card payments are subject to a 5% surcharge for administration costs.
  • If the client has not paid within the period referred to in paragraph 2 of this article, he shall be in default by operation of law without further notice of default being required. In that case, the client shall also owe interest, without further notice of default, from the due date until the date of full payment, at a rate of 1% per month, calculated on the outstanding invoice amount, whereby part of a month shall be regarded as a whole month.
  • If the client fails to pay or fails to pay on time, the resulting costs for Human Safety Academy B.V. will be at the expense of the client. These costs include all judicial and extrajudicial costs, such as the costs of summons, collection, counsel/attorney. The extrajudicial costs are set at least 15% of the amount to be claimed.
  • If full payment of the training price has not been received by Human Safety Academy B.V. before the start of the training, the trainee will not be entitled to participate in the training, without this releasing the client from the obligation to pay the full training price plus any additional costs.

Relocation dates 'In-company' training by the client

  • Scheduled training sessions (or parts thereof) can be rescheduled free of charge up to 4 weeks prior to the execution date. Until 2 weeks prior to the execution date Human Safety Academy B.V. reserves the right to charge 25% of the quoted amount. Thereafter, within 2 weeks, that percentage will be increased to 50%.
  • The request for relocation should be submitted in writing to Human Safety Academy B.V.

Cancellation of open training by the client

  • Cancellation by the client of the agreement regarding a training course is only possible by registered letter up to four weeks before the scheduled first training day at the latest.
  • Cancellation of the training (or part of it) is free of charge until 4 weeks prior to the execution date. Until 2 weeks prior to the execution date Human Safety Academy B.V. reserves the right to charge 50% of the quoted amount. Thereafter, within 2 weeks, that percentage will be increased to 75%.
  • Complementary costs, where Human Safety Academy B.V. takes care of the coordination, will be charged in full to the client in case of cancellation insofar as these are actually realized costs, including a surcharge of 5% administration costs.

Absence of the trainee

  • If a trainee is unable to participate in the training, replacement by another trainee is possible, provided that the replacement is reported to Human Safety Academy B.V. no later than one week before the first training day. For this replacement, the client does not owe any additional costs.
  • A trainee who is unable to attend can, upon request, be transferred to the same training on another date or date. In case of rebooking, an administration fee of € 50,00 excluding VAT will be charged. In case of transfer within one week before the first training day, these costs amount to 50% of the training price, with a minimum of € 50,00.
  • Transfer of a trainee is possible a maximum of 1 time per training.

Cancellation by Human Safety Academy B.V.

  • Human Safety Academy B.V. reserves the right to cancel the training until no later than three days before the first training day. The clients will be informed immediately. Human Safety Academy B.V. will refund the training fee paid by the principal. If possible Human Safety Academy B.V. will offer the principal an alternative. If the customer makes use of this alternative, the training fee will not be refunded.

Liability

  • Human Safety Academy B.V. is not liable for any damage caused by or related to participation in a training of Human Safety Academy B.V. or the cancellation of the training agreement by ' Human Safety Academy B.V., unless Human Safety Academy B.V. can be blamed for intent or gross negligence.
  • If Human Safety Academy B.V. is liable for any damage at any time despite the provisions of paragraph 1, then this will be limited to a maximum of the invoice amount. Indirect damage will not be compensated.

Intellectual property

  • The training material provided becomes the property of the client. The intellectual property rights regarding the training, the training material and any other documents/products related to the training are reserved by Human Safety Academy B.V..
  • Without explicit written permission of Human Safety Academy B.V., the client is not entitled to disclose, exploit or, in any way, reproduce data from and/or parts and/or excerpts of the training material provided.

Replacement teacher or trainer

  • Human Safety Academy B.V. is at all times entitled to replace a trainer or instructor, charged by it with the execution of the training agreement, by another trainer or instructor.
